The Government of the Republic of Trinidad and Tobago is Requesting Expressions of Interest for Corporate Govenance Services for the Multi-Phase Wastewater Rehabilitation Program Phase 1 EXPRESSIONS OF INTEREST - CONSULTING SERVICES INSTITUTION : Water and Sewage Authority COUNTRY : Republic of Trinidad and Tobago PROJECT : Multi-Phase Wastewater Rehabilitation Program SECTOR : Water and Wastewater ABSTRACT : Request for Expressions of Interest for Corporate Governance Services for the Multi-Phase Wastewater Rehabilitation Program- Phase 1 LOAN NO. : 2890/OC-TT CONTRACT/BID NO. : WTC 30 BACKGROUND The Government of the Republic of Trinidad and Tobago (GORTT) has received financing from the Inter-American Development Bank (IDB), and intends to apply part of the proceeds to finance the consultancy services described below under the project Multi-Phase Wastewater Rehabilitation Program-Phase 1. The general objective of the program is to contribute to the GORTT's effort to improve the environmental conditions of Trinidad and Tobago (T&T) by decreasing the uncontrolled discharge of untreated wastewater into the environment. The specific objectives of the Phase I are: (i) the construction of two new and improved Wastewater Treatment Plants (WWTP) in San Fernando and Malabar catchments; and (ii) the institutional strengthening of the Water and Sewage Authority (WASA), through: (a) training activities on contract management for outsourced operations, operation and maintenance, and environmental management; (b) implementation of key actions to improve commercial management services; and (c) implementation of key actions to improve corporate governance (CG). Within the framework of point (c) above, a Corporatization Framework was developed which identifies three (3) major objectives to be accomplished, namely: I. Establishment of a distinct legal identity for the corporatized entity under which the government's role is clearly defined as owner/majority shareholder etc. II. Removal of the company's assets and finances from other government operations. III. Implementation of private sector commercial orientation and managerial independence with systems of accountability to the owner. As part of this effort, a Corporate Governance Action Plan (CGAP) was developed that identified twenty-five (25) Corporate Governance Practices to be implemented. Additionally, eight (8) critical Corporate Governance Practices that shall be implemented within the first year of the Program for the Authority. These include actions on: ? Transparency and information disclosure; ? Audit and internal control; and ? Activities in the sections financial discipline, commitment to Corporate Governance and structure and functioning of the board. Within this framework, the Water and Sewerage Authority, Trinidad and Tobago now invites eligible firms to indicate their interest in providing these services as follows: Corporate Governance • Evaluate current CG practices in WASA; • Examine current practices of the Board; • Drafting of management structure to be established in CG plan for the management of business; • Drafting of profile of directors; • Drafting of compliance and control measures; • Define relationship between the state as owner and WASA. Legal • Preparation of a proposal for a new Corporate Governance model with a new draft legal framework, which shall include among others: o Definition of a trajectory from the current to the future situation; o Outlines or drafts of statutes compatible with a fully corporatized company with managerial autonomy; o Outlines or drafts of a performance agreement or code of conduct that defines the relationship between WASA and the government. o Draft legislation for the Corporatization of WASA The total duration of this consultancy is 24 months. Interested firms must provide information establishing that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc.). Firms may associate (legally) to enhance their qualifications. Firms will be selected in accordance with the procedures set out in the Inter-American Development Bank: Policies for the Selection and Contracting of Consultants financed by the Inter-American Development Bank (current edition) and is open to all eligible bidders as defined in the policies.
